These terms are not currently in force. The Kazi merchant programme is not open: see For merchants. They are published so the terms are visible in advance, and they will be updated, including the settlement mechanism and its fees, before any merchant is signed up.
B1. Eligibility
To list on Kazi as a merchant you must:
- Be a registered South African business (Pty Ltd, CC, sole proprietor with SARS registration).
- Hold all required licences for your category (food handling certificate for food merchants, pharmacy licence for pharmacies, liquor licence for liquor outlets).
- Maintain a separate business bank account in your registered name (for payouts).
- Pass Kazi's KYC review (CIPC docs, proof of address, bank verification).
B2. Commission
Kazi charges commission on each order's item subtotal. The applicable rate is the rate set out in your Merchant Dashboard and may be changed on notice. Your share of each paid order is settled to your registered business bank account.
The split is computed at order placement and recorded against the order. The commission rate that applies to an order is the rate recorded at placement. The settlement mechanism has not been selected. It will be named in this document, with its schedule and its fees, before the merchant programme opens.
B3. Fees Kazi pays for you
| Cost | Who pays |
|---|---|
| Payment processing fees, once a method is selected | Kazi (out of commission) |
| Delivery fee | Charged to the customer; allocated between driver and Kazi per the in-app split |
| Driver tip | To the driver |
| Refund processing | See the refund policy |
| Chargeback losses | Allocated to the party at fault, assessed case by case |
B4. Settlement
- Mechanism: not yet selected. It will be named here, with its settlement schedule, before the merchant programme opens.
- Method: EFT to the business bank account you nominated at KYC.
- Statement: per-order breakdown viewable in Merchant App → Earnings.
- Dispute holds: When a customer raises a dispute on an order you fulfilled, the affected order's share may be held pending the outcome.
B5. Listings
- All product photos, descriptions, prices and operating hours must be accurate. Misleading listings (e.g. dish photo not matching what's delivered) may result in suspension.
- You grant Kazi a royalty-free licence to use your name, logo and product photos solely for marketing the Kazi platform (in-app, on social media, on our website).
- You retain ownership of your IP.
- All photos must be either owned by you or licensed (no stolen Pinterest shots). Repeat infringements terminate your account.
B6. Order obligations
When you accept an order in the Merchant App you are expected to:
- Prepare it within the prep time set in your dashboard.
- Have it ready when the driver arrives.
- Hand over the correct items in safe packaging.
High rejection or cancellation rates may trigger an account review.
B7. Compliance
You are responsible for:
- Tax compliance (including VAT registration once you cross the SARS threshold; Kazi may report your aggregate payouts to SARS where lawfully required).
- Food safety regulations (Foodstuffs, Cosmetics and Disinfectants Act).
- Restricted goods (alcohol cannot be sold to under-18s, drivers will verify ID on delivery; we won't dispatch alcohol orders to addresses outside permitted hours per provincial law).
- Your own data subjects (your staff data is your responsibility, not Kazi's).
B8. Termination
- Either side may terminate on reasonable written notice (privacy@kazicouriers.co.za).
- Kazi may suspend or terminate immediately for KYC fraud, repeated customer complaints, failure to fulfil orders, or conduct that brings Kazi into disrepute.
Common provisions
Force majeure
Neither party is liable for failure to perform due to events outside reasonable control (load shedding extended beyond 8h, natural disaster, civil unrest blocking dispatch zones, government action).
Notices
All notices to Kazi: privacy@kazicouriers.co.za or post to Kazi Couriers (Pty) Ltd, Polokwane, Limpopo. Notices to you: the email + phone number on your account.
Severability
If any provision is held unenforceable, the remainder of the agreement stands.
Entire agreement
These terms, plus the privacy policy, acceptable use policy and refund policy, constitute the entire agreement between you and Kazi.
Governing law
Republic of South Africa. Disputes go to a magistrate's or high court of competent jurisdiction.
